Terms and conditions ensure the use of www.diesel.com website (hereinafter “Site”), in accordance to applicable laws, even in data protection and intellectual property rights.

1. CONDITIONS FOR THE USE OF THE SITE

The Site aims to promote the brand and the products Diesel S.p.A. (“Diesel”).

The Site could be subject to changes and updates without notice.

Use of this Site constitutes acceptance by you of these terms and conditions and their commitment to respect them.

Diesel informs users that these conditions can be modified at any time.

2. INTELLECTUAL PROPERTY

The content of the Site, including, without limitation, any logo, trademark or photos published on the Site are property of Diesel or licensed by the right holders and are protected according to the intellectual property rights, or any other legal provision applicable.

Diesel owns all rights in these materials, or is licensed by the holders, even in respect to credit. Diesel respects the intellectual property rights of third parties, and all legal provisions to protect the interests of third parties, as well as take all possible measures with the means at its disposal to ensure that the Site does not infringe the protected rights. However, if you think that the Site may violate any proper law, Diesel will proceed to remove the content in question after receiving written notice of the owner of copyright and duly verified at the above contacts. In this regard it may be addressed by compiling the request of the customer service form.

In any case, among the various registered trademarks owned by Diesel properties to be counted DIESEL (word), DIESEL ONLY THE BRAVE , D handwriting , D design , Coin pocket design, JoggJeans, Diesel Black Gold. All other trademarks in this Site are property of their respective trademark owners.

3. LINK TO OTHER WEB SITES

The Site contains links to other web sites. Diesel has no control over them, nor can it control or check the contents. It is therefore up to you take note of the commitments of each blog / social network / website they you visit.

In particular, we have no control over the practices of third-party sites for the collection, processing of personal data and privacy. It is up to the user to acquaint themselves with the Diesel commitments on data processing by reading the information from time to time presented to users on the Site, but also the commitments of any blog or social network or site associated with the Site that contains the links, and use only the sites that accept the content and usage rules. Diesel disclaims any liability for any link to another website and which refers to the Site.

The Site could be associated with that link and its content not specifically authorized by Diesel.

4. RESPONSIBILITY

Diesel plays a regular update of its content and the devices in place on the Site to allow access and use of the Site under the best conditions for the user. However, Diesel cannot guarantee the timeliness, accuracy and completeness of the content on the web. The user in this context, is fully aware of the fact that the content on the Site is for information only. Subject to the provisions of law, the present conditions are subject to Italian law and all disputes concerning their application and interpretation will be subject to the exclusive knowledge of the Court of Milan.

Subject to the mandatory provisions of the law, Diesel will not be liable for any damages or injury arising from use of the Site as well as arising from any interruption in the site execution fault, error, omission, interruption, defect, delay in operation of transmission, viruses or fall line. Diesel also not be liable for any damages or injury that result from the use or inability to use the material included in the site or arising from the conduct of other users who violate these terms.

The materials on the website could include technical inaccuracies or typographical errors. Diesel could make changes or improvements at any time. The material on the Site is made available "as is" and without warranty of any kind, express or implied, in accordance with applicable law and within the limits permitted by it, Diesel makes no warranties, including those of merchantability and fitness for any use.

The material from this Site and any other World Wide Web site owned, operated, licensed, or controlled by Diesel or any of its related, affiliated and subsidiary may not be copied, distributed, modified, republished, reproduced, downloaded or transmitted by any means, without the prior written consent of Diesel prejudice to the right to download a copy of the material on one computer for your personal use for non-commercial home use, provided that the signs are not removed or changed relative to the author or rights, trademark or other proprieta/ry notices. Modification or use of the material for any other purpose is a violation of the rights of Diesel. The material on this website is provided only for purposes authorized by law.

All comments, suggestions, ideas, graphics, or other information communicated to Diesel will become the property of the same. The users renounce to every compensation and / or consideration not only economic but in any capacity.

The information will not be subject to any obligation of confidentiality. Diesel will be free to use the information as it sees without this resulting in Diesel same obligation or responsibility. Welcome to shop.diesel.com (the “Site”), which is operated for DIESEL USA Inc. (“DIESEL” or “we” or “our” or “us”) and our order intake and fulfillment providers. These terms and conditions (the “General Terms and Conditions of Sale”) govern the sale of merchandise by DIESEL to individuals (“Users” or “you” or “your”) through the Site. The Site is available only for purchases made and delivered within the U.S. and it is not intended for children. Your use of the Site to purchase merchandise indicates your agreement to follow and to be bound by the General Terms and Conditions of Sale. If you do not want to accept the General Terms and Conditions of Sale, please do not purchase merchandise from the Site.



PLEASE NOTE THE ARBITRATION PROVISION SET FORTH BELOW, REQUIRING YOU TO ARBITRATE ANY CLAIMS YOU MAY HAVE AGAINST DIESEL ON AN INDIVIDUAL BASIS. 1. PURCHASES ON THE SITE

All orders are subject to email confirmation from us. Please note that availability is not guaranteed for the merchandise displayed on the Site, as it may be out-of-stock or discontinued. Also, the colors you see while using the Site will depend on your computer monitor and may vary from the actual color of the merchandise.

2. PRICING

All prices are in U.S. Dollars and prices may change without notice. The total price includes sales tax applied by individual State and local regulations, based on the State you are shipping the products to. An estimation of the tax charges will be indicated on the confirmation page of your online Shopping Cart on the Site, which will be equal to or less than the exact sales tax applied to your purchase. Actual tax charges will be calculated automatically after your order is shipped and the final order total will be indicated in the invoice you receive with the shipping confirmation email. Please be aware that in some states, you may be directly required to pay tax on your purchases. Diesel does not provide price adjustments on prior purchases.

3. SHIPPING COSTS

You are responsible for the shipping costs associated with the delivery of the merchandise you purchase on the Site as specified on your order confirmation.

4. DELIVERY

You bear all risks of loss and damage to the merchandise you purchased from the time the merchandise have cleared our fulfillment house. Delivery is deemed complete and title to the merchandise passes to you upon acceptance of shipment by a common carrier.

5. RETURNS AND REFUNDS

Please refer to our Return and Refund Policy , which is an integral part of these General Terms and Conditions of Sale.

6. MERGER AND INTEGRATION

Our order confirmation, these General Terms and Conditions of Sale and our other Site Policies will be deemed the final and integrated agreement between you and us on the matters contained in these General Terms and Conditions of Sale.

7. GOVERNING LAW AND ARBITRATION

By making a purchase from the Site, you and DIESEL agree that, if there is any controversy, claim, action or dispute arising out of or related to any transaction conducted on the Site, or the breach, enforcement, interpretation, or validity of these General Terms and Conditions of Sale or any part of them ("Dispute"), both parties shall first try in good faith to settle such Dispute by providing written notice to the other party describing the facts and circumstances of the Dispute and allowing the receiving party 30 days in which to respond to or settle the Dispute.


Notice shall be sent:



to diesel at customerservice_us@diesel.com, or

to you at: your last-used billing address or the billing and/or shipping address in your online profile.


Both you and diesel agree that this dispute resolution procedure is a condition precedent that must be satisfied before initiating any litigation or filing any claim against the other party.



IF ANY DISPUTE CANNOT BE RESOLVED BY THE ABOVE DISPUTE RESOLUTION


PROCEDURE, YOU AGREE THAT THE SOLE AND EXCLUSIVE JURISDICTION FOR SUCH DISPUTE WILL BE BINDING ARBITRATION ON AN INDIVIDUAL BASIS. ARBITRATION ON AN INDIVIDUAL BASIS MEANS THAT YOU WILL NOT HAVE, AND YOU WAIVE, THE RIGHT FOR A JUDGE OR JURY TO DECIDE YOUR CLAIMS, AND THAT YOU MAY NOT PROCEED IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE CAPACITY. Other rights that you and we would have in court will not be available or will be more limited in arbitration, including discovery and appeal rights. All such Disputes shall be exclusively submitted to Judicial Arbitration and Mediation Services, Inc. for binding arbitration under its rules then in effect in the New York, New York, USA area, before one arbitrator to be mutually agreed upon by both parties.



The arbitrator, and not any federal, state or local court or agency, shall have exclusive authority to resolve any dispute arising under or relating to the interpretation, applicability, enforceability or formation of these General Terms and Conditions of Sale, including any claim that all or any part of these General Terms and Conditions of Sale is void or voidable.

8. WARRANTY DISCLAIMERS

DIESEL MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE MERCHANDISE INCLUDED ON THE SITE NOR AS TO THE MERCHANDISE BEING SOLD TO YOU. DIESEL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT, AND THERE ARE NO WARRANTIES, EXPRESS OR IMPLIED, WHICH EXTEND BEYOND THE DESCRIPTION OF THE MERCHANDISE CONTAINED ON OUR ORDER CONFIRMATION.



CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY, AND YOU MIGHT HAVE ADDITIONAL RIGHTS. THE LIMITATIONS IN THIS SECTION ARE APPLICABLE IN NEW JERSEY.

9. SEVERABILITY

If any provision of these General Terms and Conditions of Sale are determined to be invalid, illegal or unenforceable, the remaining provisions of these General Terms and Conditions of Sale remain in full force to the extent permitted by law.

10. PRIVACY

The terms and conditions of our Privacy Policy govern the processing of all personal data collected from you in connection with your purchase of products through the Site.

11. FORCE MAJEURE

DIESEL will not be liable for any delay or failure in performance caused by circumstances beyond its reasonable control.

DIESEL Text Updates Mobile Terms and Conditions

Program Description: DIESEL (“Company”) is offering the Text Updates, a mobile alert program (the “Program”), subject to these Mobile Terms and Conditions (the “Terms”). If you do not wish to continue participating in the Program or no longer agree to these Terms, you can reply “STOP” to any mobile message from Company in order to opt out of the Program.

User Opt In:

The Program allows users to receive SMS/MMS (“mobile”) alerts that include alerts, information, offers, and rewards by users affirmatively opting into the Program, such as signing up online, at a point-of-purchase display, or by texting a keyword to DIESEL’s short code or TFN (Toll Free Number). Regardless of the opt-in method you utilized to join the Program, you agree that these Terms apply to your participation in the Program. The mobile messaging service used by Company to communicate with you requires human intervention for Company’s mobile messages to be initiated, and it does not have the capacity to randomly or sequentially generate telephone numbers. Thus, Company’s mobile messages are not sent to you by an automatic telephone dialing system (“ATDS” or “autodialer”). Nevertheless, by signing up to receive promotional messages from Company, you agree to receive autodialed marketing mobile messages and you understand that consent is not required to make any purchase from Company.


Company may also offer various applications or services that enable or incorporate transactional text messaging, including, but not limited to, one-to-one messaging with a sales associate, text-message receipts, and other informational alerts. By providing your mobile telephone number to Company when presented with these Terms, you consent to receive non-marketing mobile messages to the fullest extent permitted under applicable law, regardless of the technology utilized.


Users may also opt into receiving messages from Company over Social Media Platforms, including, but not limited to, Facebook, Twitter, Instagram, WeChat, Telegram, LINE, Viber, and WhatsApp (collectively, “Social Media Platforms”). By consenting to communicate with Company through a particular Social Media Platform when presented with these Terms, you agree that you are bound to these Terms, in addition to complying with the applicable Social Media Platform Provider’s Terms of Service.

Cost and Frequency:

Message and data rates may apply. The Program involves recurring mobile messages, and additional mobile messages may be sent based on your interaction with Company.

Contact Information:

For support, text “HELP” to any Company mobile message.

User Opt Out and Additional Commands:

To opt out of receiving mobile messages, reply “STOP” to any mobile message you received from Company on your mobile device. This is the easiest and preferred method to opt out receiving mobile messages through the Program. You may receive an additional mobile message confirming your decision to opt out. The Program may recognize or respond to additional commands and keyword queries. Thus, you may receive additional informational text messages based on your interaction with the Program, even after opting out of receiving the Program’s recurring alerts. You acknowledge and agree that, notwithstanding any prior opt-out attempt, you consent to receive further messages from or on behalf of Company that result from your continued communication with the Program. Company may also provide you instructions on how to rejoin receiving the Program’s recurring mobile alerts when you unsubscribe. You agree that you are subject to the Terms, including any modifications thereto then in effect, when you resubscribe to the Program through any of the available options to do so.

MMS:

The Program will send SMS MTs if your mobile device does not support MMS messaging.



Company Warranty:

Company will not be liable for any delays or failures in the receipt of any messages connected with this Program. Delivery of messages is subject to effective transmission from your wireless service provider/network operator, and is outside of Company’s control.



Privacy Statement:

By participating in this Program, you acknowledge that you have reviewed and understand our Privacy Statement, and consent to the practices described in that Statement.

Dispute Resolution:

In the event that there is a dispute, claim or controversy between you and Company, or between you and any third-party acting on Company’s behalf in connection with the Program, arising out of or relating to federal or state statutory claims, common law claims, these Terms, Company’s Privacy Statement, or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, such dispute, claim or controversy will be determined by arbitration in Miami, Florida before one arbitrator. The arbitration will be administered by the American Arbitration Association (“AAA”). The Consumer Arbitration Rules of the AAA in effect at the time the arbitration is commenced shall apply. The arbitrator will apply the substantive law of the Florida, exclusive of its conflict or choice of law rules. However, the parties agree that for any disputes arising under the Telephone Consumer Protection Act, the parties agree to apply the law as interpreted by the federal courts of the Eleventh Circuit. Nothing in this paragraph will preclude the parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction. The parties acknowledge that this Agreement evidences a transaction involving interstate commerce. Notwithstanding the provision in this paragraph with respect to applicable substantive law, the Federal Arbitration Act (9 U.S.C. §§ 1-16) will govern any arbitration conducted pursuant to these Terms. Either party may commence arbitration by providing the other party to the dispute a written demand for arbitration, setting forth the subject of the dispute and the relief requested (“Arbitration Demand”).


To the fullest extent permitted by law, each of the parties agrees that any proceeding, whether in arbitration or in court, will be conducted only on an individual basis and not in a class, consolidated or representative action. If for any reason a claim proceeds in court rather than through arbitration, each party knowingly and irrevocably waives any right to trial by jury in any action, proceeding or counterclaim arising out of or relating to this Agreement or any of the transactions contemplated hereby.


The appointed arbitrator may award monetary damages and any other remedies allowed by the state law designated above. In making his or her determination, the arbitrator will not have the authority to modify any term or provision of these Terms. The arbitrator will deliver a reasoned written decision with respect to the dispute (the “Award”) to each party, who will promptly act in accordance the Award. Any Award (including interim or final remedies) may be confirmed or enforced in any court having jurisdiction, including any court having jurisdiction over either party or its assets. The decision of the arbitrator will be final and binding on the parties, and will not be subject to appeal or review. Each party will advance one-half of the fees and expenses of the arbitrator, the costs of the attendance of the court reporter at the arbitration hearing, and the costs of the arbitration facility. In any arbitration arising out of or related to these Terms, the arbitrators will award to the prevailing party, if any, costs and attorneys’ fees reasonably incurred by the prevailing party in connection with that aspect of its claims or defenses on which it prevails, and any opposing awards of costs and attorneys’ fees awards will be offset. The parties will maintain the confidential nature of the arbitration proceeding, the hearing and the Award, except as may be necessary to prepare for or conduct the arbitration hearing on the merits, or except as may be necessary in connection with a court application for a preliminary remedy, or confirmation of an Award or its enforcement, or unless otherwise required by any applicable law. Any documentary or other evidence produced in any arbitration hereunder will be treated as confidential by the parties, witnesses and arbitrators, and will not be disclosed to any third person (other than witnesses or experts), except as required by any applicable law or except if such evidence was obtained from the public domain or is otherwise obtained independently of the arbitration.

Disclaimer of Warranties:

THE LAWS OF SOME JURISDICTIONS, INCLUDING THE PROVINCE OF QUEBEC, MAY NOT ALLOW THE EXCLUSION OR LIMITATION OF REPRESENTATIONS, WARRANTIES OR CONDITIONS, SO SOME OF THE BELOW EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH CASE, EXCLUSIONS WILL APPLY TO THE GREATEST EXTENT CONSISTENT WITH APPLICABLE LAW. YOUR USE OF AND DECISION TO JOIN THE PROGRAM IS ENTIRELY AT YOUR OWN RISK. WE MAKE NO REPRESENTATIONS, WARRANTIES OR CONDITIONS ABOUT THE PROGRAM, INCLUDING, WITHOUT LIMITATION, THE OPERATION OF THE PORGRAM OR THE INFORMATION, MATERIALS, GOODS, OR SERVICES APPEARING OR OFFERED THROUGH THE PROGRAM OR WITH RESPECT TO ANY WEBSITES OR SERVICES LINKED FROM THE PROGRAM. THE PROGRAM IS PROVIDED "AS IS", "WITH ALL FAULTS," AND "AS AVAILABLE." UNDER NO CIRCUMSTANCES, INCLUDING WITHOUT LIMITATION, NEGLIGENCE, WILL COMPANY, ITS AFFILIATES, OR ANY PARTY INVOLVED IN OPERATING, CREATING, PRODUCING, OR DELIVERING THE SERVICES BE LIABLE FOR DAMAGES OR LOSSES INCLUDING WITHOUT LIMITATION DIRECT, INCIDENTAL, CONSEQUENTIAL, INDIRECT, SPECIAL, OR PUNITIVE DAMAGES OR LOST PROFITS ARISING OUT OF THE TERMS OR YOUR ACCESS, USE, MISUSE, OR INABILITY TO USE OR ACCESS THE PROGRAM, INCLUDING WITHOUT LIMITATION ANY COMPANY CONTENT OR USER CONTENT, OR ANY SITES LINKED FROM THE PROGRAM, HOWEVER CAUSED, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR IN CONNECTION WITH ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS, LINE OR SYSTEM FAILURE, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR DEVICE, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE PROGRAM OR TO YOUR DOWNLOADING OF ANY CONTENT THROUGH IT OR ON ANY WEBSITE LINKED TO IT.


BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, COMPANY’S LIABILITY IN SUCH JURISDICTIONS FOR SUCH DAMAGES SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW. Miscellaneous: You warrant and represent to Company that you have all necessary rights, power, and authority to agree to these Terms and perform your obligations hereunder, and nothing contained in this Agreement or in the performance of such obligations will place you in breach of any other contract or obligation. The failure of either party to exercise in any respect any right provided for herein will not be deemed a waiver of any further rights hereunder. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect and enforceable. Any new features, changes, updates or improvements of the Program shall be subject to these Terms unless explicitly stated otherwise in writing. Company reserves the right to change these Terms from time to time. Any updates to these Terms shall be communicated to you. You acknowledge your responsibility to review these Terms from time to time and to be aware of any such changes. By continuing to participate in the Program after any such changes, you accept these Terms, as modified. You further warrant and represent that you will not provide to Company any telephone number that is not assigned to you, and that if you obtain a new telephone number, you will promptly notify Company that your prior telephone number is no longer assigned to you.

    You are an active user (“User”) when you:

    The companies collecting and processing personal data as autonomous data controllers (hereinafter the “Data Controllers” or the “Companies”) or as joint controllers are:

    OTB (Parent company of Diesel Spa and Diesel Inc.) and Diesel HQs carry out some activities as joint controllers, taking jointly the decisions regarding the purposes and means of personal data processing. Hereafter, the term “Joint Controllers” means Diesel HQs and OTB jointly considered when they process data as joint controllers.

    To facilitate your understanding of the processing activities carried out by the above mentioned subjects as Controllers or Joint Controllers, we have prepared this document explaining which processing activities are carried out autonomously by each company.

    Each Company collects different categories of personal data according to the purpose for which it processes them.

    Herein below we specify which categories of Personal Data are collected; in the following paragraph we will explain for what purposes each category of data is processed by each Data Controller or by the Joint Controllers as appropriate. “Personal Data” is information that identifies, relates to, describes, is capable of being associated with, or could reasonably be linked, directly or indirectly, with a particular individual, device, or household.

    • Identifiers/contact data/biographical data, which may include name, date of birth, address, online identifier or username, Internet Protocol address, email address, telephone number, or account name. These are sourced directly from you or indirectly from you (e.g., from observing your actions on the Site). They are used to fulfill or meet the reason you provided the information, to contact you in relation to our Site, to respond to an inquiry, for product and service improvement, to provide loyalty programs, to provide prizes, marketing, or to process an order. For example, when you create an account, you provide your first and last name, email address, and other identifying information. We disclose this information for business purposes to internet service providers, administrative service providers, and payment processors.
    • Personal Data categories contained in customer records/sales data, which may include name, address, telephone number, bank account number, credit card number, debit card number, passport number, tax code, or any other payment and financial information for billing. We source this information directly from you. We use this information to fulfill or meet the reason you provided the information, to contact you in relation to our Site, to respond to an inquiry, or process an order. For example, we need your payment information when you purchase products and services from us.     • Characteristics of protected classifications, such as age or gender. We source this information directly from you.     • Loyalty Data: : your data collected as part of the “House of Diesel” loyalty program, whose Regulation is available at the following link, and based on your engagement with the brand (e.g., social media “like”, “comment”, “share”, “save”, “follow Diesel’s official account”, “share photos on community platform”, “create Wishlist and e-store avatar” etc.);
    • Internet, technical or other similar network activity/navigation data, which may include usage and browsing history; device information, including device properties; network connection information, such as time zone; search history; information on your interaction with our Site, newsletters, or links; and error logs. We source this information directly or indirectly from you (e.g., from observing your actions on our Site). We use this information to fulfill or meet the reason you provided the information, or to improve our Site. We disclose this information for business purposes to administrative service providers, data analytics providers, and internet service providers. We source this information directly or indirectly from you, (e.g., from observing your actions on our Site). We use this information to fulfill or meet the reason you provided the information, marketing, to provide more relevant products and services, and to improve our Site and services. We do not disclose this information to third parties.

    3. FOR WHAT PURPOSES WE PROCESS YOUR PERSONAL DATA


    In this paragraph we further explain for what purposes each category of data is processed by each Data Controller or Joint Controller.

    3.1 PURPOSES OF DIESEL USA Inc. (DIESEL)


    Diesel is the company that manages the e-commerce via the Site and the shop where you purchased a product and to which you have requested assistance services. In some cases, it may be necessary for Diesel to become aware of some information concerning you, to process specific requests you may have. Diesel will process Personal Data for the following purposes.

    a. Sales activities and response to other requests made by customers

    If you purchase Diesel products through the e-commerce service on the Site or in shops, Diesel will process your identifiers, contact data, biographical data, sales data and purchase data to conclude the sale, as well as for all activities strictly connected and related to it, such as delivery or other administrative and accounting obligations.

    Similarly, Diesel may need to verify the requirements for participating to special discount programs (e.g. verifying if the purchase made is a first purchase or other requirements of the regulation) and to process your identifiers, contact data, and biographical data to respond to any further requests that you may formulate through the Site or through the Customer Service, through telephone or chat, such as requests for information, assistance, or to be notified by email when a desired product or size becomes available again on the Site, through the “Notify Me” functionality.

    Legal basis: this processing is based on the performance of a purchase contract to which you are a party; the provision of the Personal Data listed above is necessary for this purpose, since otherwise Diesel will not be able to process your request.

    b. Sales related services

    Diesel may need to process your Biographical Data, Contact Data and certain Sales Data (tax code and/or VAT number, passport number and Global Blue card number) to manage your purchase when concluded by phone or other methods provided for by Diesel, or issue an invoice, should you request it. Moreover, these data will be processed also to re-contact you for reasons connected with your purchase, for example in case of complaints, to recall a faulty and/or unsafe product or, in general, for technical reasons, e.g., related to the management of problems with refused credit card payments and similar.

    Legal basis: this processing is based on the performance of a purchase contract to which you are a party; the provision of the Personal Data listed above is necessary for this purpose, since otherwise Diesel will not be able to process your request.

    c. After-sales services

    Diesel may collect your identifiers, contact data, and biographical data to process specific requests that you may formulate in the shop, during post-sales; for example, to arrange a repair, a customization, a home delivery or to manage a return.

    Legal basis: this processing is based on the performance of a purchase contract to which you are a party; the provision of the Personal Data listed above is necessary for this purpose, since otherwise Diesel will not be able to process your request.

    d. Loyalty program Registration

    The identifiers, contact data, purchase data, loyalty data and biographical data will also be collected by Diesel to manage your request to join the loyalty program (called “House of Diesel”, whose Regulation is available at the following link). These data will be processed to complete your membership and for all purposes strictly connected to it or instrumental, including – firstly – all the activities provided for in the loyalty program. Registration could take place: i) both online through the Site; ii) offline in the participating shops, by completing the application form present in electronic (tablet or another smart tool) format or through flyers (distributed in shops) with a special QR code, through which customers can join the program themselves via the Site, iii) through further official channels of Diesel S.p.A., (for example, but not limited to social networks such as Facebook, Instagram, WeChat etc.), or iv) through the Customer Service.

    All communications relating to the loyalty program may be made by Diesel via the Site, SMS, MMS, Wallet, e-mail, newsletter, social networks and/or any other official communication channel of Diesel. All these communications relating to the program itself are sent solely for the purpose of making available the benefits related to it and do not constitute marketing communications.

    Furthermore, by creating an account on the website in the reserved area, the User will become part of the Diesel’s loyalty program. If you wish to take advantage of the services available on the Site (e.g., purchase products) without joining the program, simply choose the “Guest” option where available (e.g., during checkout for payments).

    Legal basis: this processing is based on the performance of a contract for joining the loyalty program to which you are a party; the provision of the Personal Data listed above is necessary for this purpose, since otherwise Diesel will not be able to process your request.

    e. Participation in prize contests

    Diesel will be able to process your identifiers and biographical data to allow you to participate in prize contests that Diesel could organize. In certain situations, for example to proceed with the delivery of the prize, your contact data could also be processed. If participation in the contest requires further information, these will be requested to you upon release of a specific privacy policy.

    Legal basis: this processing is based on the performance of a contract for attending the relevant prize contest to which you are a party; the provision of the Personal Data listed above is necessary for this purpose, since otherwise Diesel will not be able to process your request.

    f. Marketing

    Diesel will process your identifiers, contact data, biographical data, and data collected in the shop for marketing purposes, that is for advertising on social networks to which you are registered or sending advertising or direct sales material, carrying out market research, commercial communication with automated contact methods (email, newsletter, SMS, MMS, online messaging platforms, etc.), asking for your consent, where required by applicable law.

    Legal basis: this processing is based, where required by applicable law, on the consent you have given via the appropriate opt-in disclosure.

    In the event that you are registered in the loyalty program and decide to withdraw your consent or opt-out to marketing, you will continue to receive communications relating to benefits (such as the Birthday or Anniversary Gift or preview access to the new collections and promotions only reserved to members). If, in addition to the withdrawal of consent or the opt out for marketing activities, you do not want to receive this kind of communication anymore, you will be asked to specify it. Any removal from the loyalty program will also result in the cancellation of your online account, if you have one.

    You can at any time withdraw your consent, when required by applicable law, or you opt out to receive the above-mentioned communications by clicking on the appropriate option in each marketing email received, as well as by writing to the address privacy@diesel.com, or otherwise by contacting the Company at the addresses indicated in paragraph 1.

    g. Contact management – re-contacting the customer

    Diesel may need to use your Biographical Data and Contact Data in order to re-contact you in the post-sales process if necessary (by way of example but not limited to, re-contact may be required to deal with forgotten items in the shop, to return lost items etc.).

    Legal basis: this processing is based on the legitimate interest of Diesel in the pursuit of improving its performance and its relationship with the clients.

    3.2 PURPOSES OF DIESEL S.P.A


    Diesel HQs is the company that designs, sells and promotes the brand’s products “Diesel”. It is the company maintaining the contacts with you if you decide to participate in initiatives promoted by Diesel as prize competitions or other promotional initiatives; Diesel HQs is also the company managing the loyalty program that you can sign in. Diesel HQs will process Personal Data for the following purposes.

    a. Loyalty program Registration

    The identifiers, biographical data, and contact data will also be collected by Diesel HQs to manage your request to join the loyalty program (called “House of Diesel”, whose Regulation is available at the following link). These data will be processed to complete your membership and for all purposes strictly connected to it or instrumental, including – firstly – all the activities provided for in the loyalty program.     Only with your consent, Diesel HQs will process the identifiers, biographical data, contact data, commercial information, and contact data for marketing purposes, that is for advertising on social networks to which you are registered or sending advertising or direct sales material, carrying out market research, commercial communication with automated contact methods (email, newsletter, SMS, MMS, online messaging platforms, etc.) and traditional contact methods (mail).

    Legal basis: this processing is based on the consent you have given. In the event that you are registered in the loyalty program and decide to withdraw your consent to marketing, you will continue to receive communications relating to benefits (such as the Birthday or Anniversary Gift or preview access to the new collections and promotions only reserved to members). If, in addition to the withdrawal of consent, you do not want to receive this kind of communication anymore, you will be asked to specify it. Any removal from the loyalty program will also result in the cancellation of your online account, if you have one.

    You can at any time withdraw your consent to receive the above-mentioned communications by clicking on the appropriate option in each marketing email received, as well as by writing to the address privacy@diesel.com, or otherwise by contacting the Company at the addresses indicated in paragraph 1.

    d. Customer satisfaction

    Diesel may use your Contact Data to conduct surveys to measure the level of satisfaction (i.e., customer satisfaction) with the service provided (by way of example but not limited to: in-store post-sales surveys; online post-sales surveys; second hand gold shopping surveys etc.). Please note that in any case the communications made for this purpose will not have an advertising content, or direct sales or will be used for market research or commercial communication.

    Legal basis: this processing is based on the legitimate interest of Diesel to verify and improve the quality of its services.

    e. Other administrative-accounting activities

    Diesel may also process your Personal Data for administrative, accounting and internal statistical analysis for business planning purposes.

    Legal basis: this processing is based on the legitimate interest of Diesel to improve the quality of its services and business.

    3.3 PURPOSES OF THE JOINT DATA CONTROLLERS (DIESEL HQs AND OTB)


    Diesel HQs and OTB operate as joint controllers on the basis of a specific agreement for the purpose indicated below.

    a. Customer profiling

    With your consent, the Joint Data Controllers will be entitled to process identifiers, biographical data, contact data, commercial information, purchase data, loyalty data, the data collected in the shop, navigation data, and other similar network activity for profiling purposes and for business analysis, that is for analysis on your purchase preferences consisting of automated processing of the above mentioned Personal Data. This processing is aimed at analytically knowing or predicting your purchasing preferences, and also in order to create customer profiles and customize the commercial offer so that it is more in line with your preferences.

    Legal basis: this processing is based on the consent you have given.

    You will be entitled at any time to withdraw your consent to be subject to profiling by writing to privacy@diesel.com or otherwise by contacting the Joint Controllers at the addresses indicated in paragraph 1.

    3.4 PURPOSES OF ALL DATA CONTROLLERS (DIESEL, DIESEL HQs, OTB) OR JOINT DATA CONTROLLERS (DIESEL HQs ANDOTB)


    Finally, each Data Controller or Join Controller may need to comply with a specific legal provision to which it is subject or to defend its own right in court.

    a. Purposes related to the obligations established by laws or regulations, by decisions/requests of competent authorities or by supervisory and control bodies

    Each Data Controller or Joint Data Controller may process your Personal Data to comply with a legal obligation to which it is subject.

    Legal basis: compliance with a legal obligation.

    The provision of data for this purpose is mandatory because in the absence of data the Data Controller or the Joint Data Controller will not be in a position to comply with their legal obligations.

    b. Defense of rights during judicial, administrative or extra-judicial proceedings and in disputes arising in connection with the services offered

    Your Personal Data may be processed by each Data Controller or Joint Data Controller to defend their rights or take legal action or make claims against you or third parties.

    Legal basis: this processing is based on the legitimate interest pursued by the Data Controller or Joint Controller to protect their rights.

    4. COOKIES; WHAT PROCESSING ACTIVITIES WE CARRY OUT IF YOU’RE USING OUR WEBSITE AND YOU NAVIGATE WITHOUT BEING LOGGED IN

    The Site is owned by Diesel. It is possible to browse the Site without logging in. In this case, while browsing the Site, we inform you that the computer systems and software procedures used to operate the Site acquire, during their normal operation, some data whose transmission is implicit in the use of Internet communication protocols.

    This is information that is not directly associated with individuals, but which by its very nature could, through processing and association with data held by third parties, allow these users to be identified.

    This category of data includes the IP addresses or domain names of the computers used by users who connect to the Site, the addresses in URI (Uniform Resource Identifier) notation of the requested resources, information regarding access, information regarding location, the method used to submit the request to the server, the size of the file obtained in response, the numerical code indicating the status of the response given by the server (successful, error, etc.), the information regarding the user’s visit including data clickstream of the URL, within and from the Site, the duration of the visit on some pages and the interaction on these pages and other parameters relating to the operating system and the user’s IT environment.

    The data collected while browsing the Site will be processed to (i) manage the Site and resolve any operating problems, (ii) make sure that the content of the Site is presented in the most effective way for its devices, developing, testing and making improvements to the Site, (iii) as far as possible, to keep the Site safe and secure, (iv) to obtain anonymous statistical information on the use of the Site and to check its correct functioning, (v) identify anomalies and/or abuses in the use of the Site.     5. WHAT HAPPENS IF YOU DO NOT PROVIDE PERSONAL DATA


    Some Personal Data that we will indicate you from time to time during the registration or purchase process are necessary for the completion of the purchase contract and for administrative and accounting purposes.

    In the description of the purposes in paragraph 3, we have specified when it is necessary to provide Personal Data. Where not expressly indicated as mandatory, therefore, the provision of Personal Data is optional and there will be no consequences if you do not provide them, unless it is impossible for the Data Controllers or Joint Controllers to act as described (for example, the impossibility to carry out marketing activities).

    6. HOW AND HOW LONG WE WILL PROCESS PERSONAL DATA


    The Personal Data provided to and/or collected by the Data Controllers or the Joint Controllers are processed and stored with automated tools and, in some cases, may be processed and stored on a paper backing. In particular, the Personal Data processed for purposes of marketing and of customer profiling will be entered and stored in the CRM systems that allow the processing of Personal Data for these purposes.

    The Personal Data will be stored for the time necessary to achieve the purposes for which they were collected. In particular, the following rules will apply:

  • data collected to enter into and perform purchase contracts on the Site or in shops, including payments: up to the conclusion of administrative and accounting obligations. The billing data will be kept for 10 years from the billing date;
  • data of the registered user for joining the loyalty program: the data will be kept as long as the account is active. Even after the termination of the account, we will retain the data if this will be necessary to comply with legal obligations, to protect our rights or to prevent fraud;
  • data related to data subjects’ requests: the data will be stored until the request is satisfied;
  • data collected and processed for customer satisfaction will be retained for 30 days;
  • if you have provided your consent, the data processed for purposes of marketing and customer profiling will be stored for a period of 7 years. In any case, you will not be contacted again for marketing and profiling activities 7 years after your last interaction with us or even earlier if you revoke the consent previously given. The events that identify this “interaction” may include, but are not limited to, a purchase, opening an email sent, participation in a survey, contest or event, interaction with Customer Service or a store, access to the “MyAccount” area, etc. For completeness, we would like to point out that, at any time, it is possible to review and modify your previously expressed consents in the “MyAccount” area of the Site, by contacting Diesel at privacy@diesel.com or the Customer Service.
  • In any case, for technical reasons, the termination of the processing and the consequent cancellation or irreversible anonymization of the related Personal Data will be definitive within thirty days from the terms indicated above.

    With particular reference to the judicial protection of our rights or in case of requests from the authority, the data processed will be stored for the time necessary to process the request or to protect the right.

    7. WHERE PERSONAL DATA MAY BE TRANSFERRED


    For the purposes indicated above, we may also transfer your Personal Data to Europe, in particular to Italy where OTB and Diesel HQS are seated.

    8. WHO WILL PROCESS PERSONAL DATA


    The Personal Data will be processed by:

    • employees and collaborators of the Data Controllers or of the Joint Controllers processing data under the authority of the Data Controllers or of the Joint Controllers;
    • employees and collaborators of the Data Processors designated by the Data Controllers or Joint Controllers, including (i) the companies managing the shops and the online store and who will be entitled to view, modify and update the Personal Data entered in the CRM systems through which the Data Controllers or the Joint Controllers carry out the processing activities for marketing and profiling purposes (ii) the companies managing the storage of the Personal Data of the Data Controllers or Joint Controllers based on agreements or local regulations;
    • third parties established in the European Union and also outside the European Union, Data Processors, used by the Data Controllers or Joint Controllers in particular for services of: personal data acquisition and data entry, shipping, mailing of promotional material, after sales assistance and Customer Service, market research, management and maintenance of the CRM systems through which the Data Controllers or Joint Controllers carry out processing activities for marketing and profiling purposes and of the other corporate information systems of the Data Controllers or Joint Controllers of the processing.     • Personal Data may also be disclosed to third-party service providers, independent data controllers, in particular to freelancers or companies providing legal or tax advice and assistance and to companies managing payments made by debit or credit cards or for fraud prevention and management activities. Furthermore, in order to be able to offer you Klarna’s payment options, we will pass to Klarna certain aspects of your Personal Data, such as contact and order details, in order for Klarna to assess whether you qualify for their payment options and to tailor the payment options for you.       Our third-party service providers may also have access to the Personal Data of people who are not users of the Site based on information that you directly disclosed on the Site, in the following instances:

    • A User who purchases a product on the Site to be mailed to a friend;
    • A User who pays for a product on the Site who is different from the recipient of the product; or
    • A User who recommends a product on sale on the Site to a friend.
    • In all of the above cases, you must make sure you receive the consent from third parties prior to disclosing their Personal Data and inform them about our Privacy Statement. We will treat this Personal Data in accordance with this Privacy Statement, just as we treat your Personal Data.     9. COLLECTION FROM CHILDREN


    The Site is not intended for children under the age of 13 and we do not knowingly collect Personal Data from such children.     10. EXERCISING YOUR RIGHTS

    Pursuant to Chapter III of the GDPR, you have the right to ask each Data Controller or Joint Controller:

  • to access to your Personal Data;
  • to receive the copy of the Personal Data you provided us (so-called “data portability”);
  • the rectification of the Personal Data in our possession;
  • the erasure of any Personal Data in relation to which we no longer have any legal basis for processing;
  • the limitation of the way in which we process your Personal Data, within the limits set by the applicable law data protection law.
  • Right to object: in addition to the rights listed above, you always have the right to object at any time to the processing of your Personal Data carried out by the Data Controller or Joint Controller for the pursuit of its legitimate interest.

    You also have the right to withdraw, in whole or in part, the consent to the processing of Personal Data concerning you for the purpose of sending advertisements or direct selling or for carrying out market research or commercial communication with automated contact methods (email, other remote communication systems via communication networks such as, for instance: SMS, MMS, messaging platforms, etc.) and traditional contact methods (mail).

    If you prefer that the processing of your Personal Data is carried out solely through traditional contact methods, you can object to the processing of your Personal Data carried out through automated contact methods.

    The exercise of these rights, which can be done through the contact details indicated in paragraph 1, is not subject to formal constraints. In the event that you exercise any of the above mentioned rights, it will be the responsibility of the Data Controller or Joint Controller that you contacted to verify if you are entitled to exercise the right and to provide you with an answer, normally within a month.

    As regards the Joint Controllers relationship, please note that OTB and Diesel entered into a specific agreement pursuant to article 26 of the GDPR, an extract of which is available for consultation contacting each of the Joint Data Controllers using the contact details indicated under paragraph 1.

    If you believe that the processing of your Personal Data is carried out in breach of the provisions of the GDPR, you have the right to lodge a complaint with your local competent Data Protection Authority or to start the appropriate legal actions before the competent courts.

    11. YOUR CALIFORNIA PRIVACY RIGHTS & HOW WE RESPOND TO “DO NOT TRACK” SIGNALS


    If you are a California resident, you may have the right to request and receive certain information about a company’s disclosure of your Personal Data to third parties for their own direct marketing use, and your choices with respect to such disclosures. Because we do not share your Personal Data with third parties for their own direct marketing use unless you are first given the opportunity to opt in or out, we are exempt from this requirement.     As of January 1, 2020, you may be entitled to the below rights:

  • the right to know.
